S.E.A. Aquarium Educator Resources – Terms of Use

1. References to "you" or "your" are references to any person/user using the Materials. 


2. The Materials shall be used solely as a non-commercial teaching aid and for no other purposes. Use for any other purpose is expressly prohibited.

 

3. The Materials may only be used by pre-school, primary school and secondary school educators in Singapore solely for educational and non-commercial purposes.


4. No mass reproduction, publication or distribution of the Materials is permitted. For the avoidance of doubt, you may not offer for sale, sell, distribute or otherwise deal with any part of the Materials over any medium.


5. The Materials shall be used without any substantial alteration or amendment, and shall not be used in any obscene, blasphemous, defamatory, unlawful manner, or any other manner which would bring RWS into disrepute or would defame or infringe the copyright or any other rights of any third party.


6. The Materials may contain inaccuracies and typographical errors. RWS does not warrant the accuracy or completeness of the Materials or the reliability of any advice, opinion, statement or other information displayed in the Materials. You acknowledge that any reliance on any such opinion, advice, statement, memorandum, or information shall be at your sole risk. No representation or warranty is given that the use of the Materials will not infringe the rights of any party.


7. All intellectual property rights in the Materials belong to RWS and are protected under Singapore and all applicable international copyright laws. Ownership of the copyright in the Materials is in no way transferred to you, and remains the property of RWS.


8. You agree to defend, indemnify and hold RWS, our directors, officers, employees and agents harmless for any and all losses, liabilities, expenses, damages or costs, including reasonable attorneys' fees, arising or resulting from any third party claim, action, or demand resulting from your use of the Materials or breach of these Terms of Use unless RWS elect(s) to take up such defense on its/their own. 


9. These Terms of Use shall be governed by the laws of Singapore. Any dispute relating in any way to the use of the Materials shall be submitted to the exclusive jurisdiction of the courts of Singapore.


10. RWS reserves the right, in our sole discretion, to modify, change, enhance, alter, add, remove, suspend or permanently discontinue all or any part of the Materials, to restrict or prohibit access to it or to amend, revise or change these Terms of Use at any time, without prior notice to you, by posting the updated Terms of Use. Your continued use of the Materials thereafter constitutes your agreement to all such amendment, revision and changes. It is your responsibility to check periodically for any changes we make to these Terms of Use. We may, with or without prior notice, terminate any of the rights granted by these Terms of Use. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the Materials.


11. You have read these Terms of Use and agree that any use of the Materials by you constitutes an agreement to be bound by these Terms of Use as well as the general terms and conditions of RWS governing use of this and other websites maintained by RWS.
